By accessing this site, you agree to these Terms. If you are acting on behalf of an organization, you represent that you have authority to bind that organization. These Terms do not govern any data transaction — those are governed by separate executed agreements.
Petrarch is a data marketplace. We act as a licensee: we acquire data from sellers under a sell-side agreement, then sub-license it to buyers under a buy-side agreement. Buyers and sellers transact anonymously through us — they do not have a direct contractual relationship with each other.
This site is currently a brochure site with no live transaction capability. All transactions are handled manually and documented through our legal agreements.
You may use this site to browse available datasets, submit data inquiries, and learn about Petrarch's services. You may not:
Petrarch charges a 20% platform fee on the agreed transaction value for each dataset sale. This fee covers evaluation, anonymization, provenance verification, deal facilitation, and ongoing compliance review. The exact fee and payment terms are specified in each order form.
Dataset pricing is determined case-by-case. Petrarch proposes a price that both the seller and buyer must accept before a transaction proceeds. Tiered licensing is available: buyers who require exclusivity pay a premium; buyers who accept non-exclusive licenses pay a lower rate. Petrarch does not define "competitor" — exclusivity terms are defined in the applicable order form.
This site and its contents are provided "as is." Petrarch makes no warranty that the site will be uninterrupted, error-free, or that any dataset listed will remain available. Dataset specifications are provided in good faith based on seller representations and our own evaluation — buyers should conduct their own due diligence.
Petrarch's liability for any claim arising from use of this site is limited to the greater of $100 or the amount you paid Petrarch in the 12 months preceding the claim. Petrarch is not liable for indirect, incidental, special, or consequential damages. Liability for data transactions is governed by the transaction agreements, not these Terms.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute will be resolved in the courts of Delaware.
We may update these Terms as our platform evolves. Material changes will be noted with an updated effective date. Continued use of the site constitutes acceptance.
